Subscription Agreement
WEBSITE AND SOFTWARE USER AGREEMENT
Thank you (hereinafter “User,” “Broker,” “Dealer,” or “You”) for deciding to subscribe to the www.ETechMoney.com Website (“Website”) and use its various software including but not limited to the “Broker Watch” and related “Trading Panel” functionality provided by E Tech Money LLC, a Delaware limited liability company having its principal place of business located in Miami, Florida (“ETechMoney”). To allow access to the resources and services of the Website, as well as the ability to download the applicable software systems offered by the Website, you are hereby obligated to carefully, read, review and accept the following terms and conditions by clicking “ACCEPT” below:
User is hereby obligated to carefully review, read and accept the terms, conditions and obligations of the Term of Use and Privacy Policy as displayed on the Website. User further understands that those terms and obligations may be updated from time to time, and accordingly shall periodically review and accept any additional terms or conditions provided by the updated Terms of Use and Privacy Policy.
By creating a user account and password in order to subscribe to the Website, as well as the various software provided by the Website (including but not limited to the Broker Watch and Trading Panel functionality), the User verifies that he/she is at least 18 years of age, or the applicable age or majority in the User’s jurisdiction. Likewise, if the User is engaged in the brokering or dealing of financial instruments, such as stocks, bonds, or other equities, that User hereby confirms that they have the appropriate level of licensure within their applicable jurisdiction and professional field.
Should User at any point loose, suspend or be declined necessary licensure in order to engage in broker and dealer transactions of financial instruments, User shall suspend such activities as well as cancel his or her account to the Website, and any services related to eTechMoney.
In creating a service account with eTechMoney, the User shall create a unique login and password. At all times applicable to this agreement, the User is required to take all reasonable precautions to safeguard this information, prevent unauthorized use of your login and password, and to notify eTechMoney of the need to deactivate your login. eTechMoney will not share the personally identifiable information that you provide in your subscription request or account information, including any provided credit card information (apart from effectuating payment with the appropriate vendors or use of any applicable credit bureaus). However, eTechMoney does reserve the right to employ, use, access and analyze personal demographic information for purposes of making target email blasts, related email marketing or related communications for purposes of alerting User of new services, software upgrades and functionality. eTechMoney is not responsible for any personally identifiable information that you or another subscriber posts in a public forum. eTechMoney reserves the right to selectively limit your access to the Website, and to change your level of access entirely at the discretion of eTechMoney with no prior notice to you. You agree not to try to circumvent or defeat any such access limitations.
By creating a user account, accessing the Website, and downloading / using the applicable software, eTechMoney hereby grants the User a single-seat non-exclusive, limited and revocable-at-will license to download any software on the Website (based upon level of subscription service identified below) including but not limited to the “Broker Watch” and related “Trading Panel” functionality for private use only. You acknowledge that, with the preceding exception, you are not permitted to download, decompile, copy, distribute any content, reverse engineer, software code, or other information accessible or available on the Website.
You agree not to tamper with code or programming of the Website, and agree not to upload harmful viruses or other programs to the Website. You agree to take no actions that would restrict others from enjoying full use of the Website. Nothing in these terms in conditions represents a transfer or assignment of any intellectual property rights held by eTechMoney.
In creating a user account, User has a choice to determining various levels of functionality, benefits and service relating to the Website, and underlying software accessible via the Website. As a basic “standard” membership subscription, the User may have access to free educational tools, a trader panel, trading rooms, and a library. However, each User may also be able to increase such “standard” membership for an applicable monthly fee to allow for “premium” services, proscribed by eTechMoney (which is subject to change). This premium services shall include, but may not be necessarily limited to, a premium trader panel, reports, volume indicator and a sentiment indicator. User understands and recognizes the various levels of service and the related restrictions / access to functionality.
Unless otherwise provided by written agreement, eTechMoney reserves the right to cancel your access to the Website and applicable software at any time and for any reason without any prior notice to you. Accordingly, upon such cancellation User agrees to promptly delete, remove, and wipe any applicable computer system in which any eTechMoney software was previously maintained. Such agreement also includes a continued restriction against forwarding, disseminating, reverse engineering accessing such software.
For the purposes of these terms and conditions, a “public forum” includes any portion of the Website on which you are able to post a comment, document or any other material, including hyperlinks or audio, image or video files, for viewing by any other users of the Website.
You acknowledge that posting any of the following are expressly prohibited:
Regardless of whether a post includes prohibited material, you agree that eTechMoney has an absolute right to take down any post for any reason with no notice to you.
You grant eTechMoney a non-exclusive, royalty-free license under all of your rights in any posted material. The license is worldwide in scope, perpetual in duration and not revocable. The license includes, but is not limited to, the rights: to publish the posted material in any medium; to reproduce the posted material; to edit or otherwise modify the posted material; to excerpt the posted material; to translate the posted material; and to create derivative works from the posted material.
You warrant that you are the original creator of the posted material and own all rights, including copyrights and trademarks, in the posted material; or if the posted material includes any content, in any form, created or owned by another (the “Third Party content”), you warrant that you have express authorization from the owner(s) of the Third Party content to grant the above license to eTechMoney for any such content.
To provide various performance reporting and sentiment indicators, User understands and acknowledges that it shall have no right or ability to restrict Company from obtaining and reviewing certain trading data (such as pricing, commissions, spreads etc). Likewise, User recognizes that Company shall under underlying trading data to track trades, creates indexes, and report performance publicly on the Website. While individual trader data shall not be displayed on Website, User recognizes that the aggregate of trading data shall be reported.
The content hosted by the Website is offered “as is” without any warranties, express or implied. References to any individuals, products or procedures on this website, and links to other websites, do not constitute a recommendation or endorsement. Your access to this website, and your interaction with any such referenced individuals, products, procedures or other websites, is voluntary and at your own risk.
No warranty, express or implied, is provided that the Website will continuously operable or available to you. eTechMoney shall not be liable to you for any damages resulting from your use or inability to use the Website, or from the loss of any information stored thereon. Likewise, User agrees that it shall have no claim in law or equity, either directly or indirectly, against eTechMoney regarding any transactions of financial instruments which were effectuated by any broker or dealer using the Website, or underlying software.
You acknowledge that eTechMoney does not have an obligation to review and police all posted materials, whether posted by you or by another, and you agree to hold eTechMoney harmless for any claims or damages you would otherwise have arising out of or resulting from posts or articles appearing on the Website.
You agree to defend and indemnify eTechMoney for any claims connected with the breach of any of these Terms and Conditions, and any warranties contained therein, and in connection with any other negligence, misfeasance or malfeasance by you connected with your use of the Website. You agree to immediately provide eTechMoney with notice of any such claims.
None of the aforementioned disclaimers shall in anyway conflict with any related disclaimer found in the Terms of use, and are hereby superceded.
By clicking below, User agrees, acknowledges and concedes that exclusive jurisdiction for any dispute involving eTechMoney or your use of the Website resides in the courts of the State of Florida, and will be governed by the laws of the State of Florida, without regard to its conflict of law principles. You expressly consent to the exercise of personal jurisdiction over you by the courts of the State of Florida for the purpose of resolving any such dispute.
All notices required to be sent to eTechMoney under this agreement must be sent to eTechMoney at the contact email appearing in the “Contact” section of the Website. You agree to accept Notice from eTechMoney at the email address provided with your subscription request, or at an updated email address subsequently provided by you in your Account information.
